Terms of Use
Welcome to Lexkeep (“we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of Lexkeep’s software-as-a-service offering (the “Services”), including our website (lexkeep.com), web application, mobile and desktop applications, APIs, and any related interfaces, documentation or platforms (collectively, the “Platform”). By accessing or using the Services, you (“you,” “your,” or “User”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
Definitions
1.1 “Account” means your registered user account on the Platform.
1.2 “Customer Data” means any data, files (documents, audio, video, images), metadata or other information you upload, submit or transmit through the Services.
1.3 “Cohort” means a group of Users you designate for secure, end-to-end encrypted sharing and/or collaboration.
Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts. By registering, you represent and warrant that you meet these requirements.
Registration & Account Security
3.1 Registration. To use the Services, you must register and provide complete and accurate information.
3.2 Credentials. You are responsible for safeguarding your username, password, and any two-factor authentication credentials. You agree to notify Lexkeep immediately of any unauthorized use or security breach.
3.3 Account Responsibility. You are responsible for all activities that occur under your Account and for compliance with these Terms.
Grant of License
Subject to your compliance with these Terms and payment of any applicable fees, Lexkeep grants you a non-exclusive, non-transferable, revocable right to access and use the Platform and Services for your internal business purposes.
Services Description
Lexkeep provides a secure, blockchain-anchored evidence and records management platform with features including:
- AES-256 encrypted cloud storage with optional client-side end-to-end encryption (E2EE)
- Cryptographic hashing of files and immutable anchoring of those hashes on the Ethereum blockchain
- Timestamped audit trails and one-click File Integrity Certificates
- Cohort-based sharing, role-based access controls and collaboration
Customer Data—Rights, Representations & License
6.1 Representations. You represent and warrant that you have all rights, title or interests in the Customer Data, or have obtained all necessary consents, authorizations or licenses, to submit or upload the Customer Data to the Services and to grant Lexkeep the license set forth below.
6.2 License to Lexkeep. By submitting Customer Data, you grant Lexkeep Oy a worldwide, royalty-free, fully paid-up, non-exclusive license to host, store, reproduce, transmit, and display the Customer Data solely as necessary to provide the Services, including any backups, disaster-recovery, analytics and audit logs. No ownership of your Customer Data is transferred to Lexkeep.
6.3 Immutability. You acknowledge that once a file hash is anchored on the blockchain, it is immutable and cannot be altered or removed by Lexkeep or any third party.
Data Protection and Data Processing Addendum (DPA)
6.4 Roles. To the extent Lexkeep processes Personal Data contained in Customer Data on behalf of a business customer in connection with the Services, the Parties agree that the business customer is the data controller and Lexkeep is the data processor (as those terms are defined in the GDPR).
6.5 DPA incorporated. The Lexkeep Data Processing Addendum (“DPA”) is incorporated into and forms part of these Terms. The DPA is available at https://lexkeep.com/dpa (or such other URL as Lexkeep may provide). By using the Services as a business customer, you agree to the DPA.
6.6 Precedence. In the event of any conflict between these Terms and the DPA relating to the processing of Personal Data, the DPA shall prevail.
6.7 Customer compliance. You represent and warrant that you have provided all required notices and obtained all necessary consents and lawful bases to provide Personal Data to Lexkeep for processing under these Terms and the DPA, and that your instructions for processing comply with applicable law.
6.8 Lexkeep as controller for certain data. Lexkeep may act as an independent controller for certain data processed for account administration, billing, security, and service communications, as described in the Privacy Policy.
Fees and Payment
7.1 Subscription Plans. Certain features require payment of subscription fees. Details of available plans, pricing and included features are posted on our website or may be negotiated separately in writing.
7.2 Billing. You authorize Lexkeep to charge your chosen payment method for all fees and applicable taxes.
7.3 Refunds. Fees are non-refundable unless otherwise agreed in writing.
Acceptable Use
You agree not to use the Services to:
- Upload, store, or distribute unlawful, infringing, defamatory, obscene, or harmful Content
- Interfere with or disrupt the integrity or performance of the Services or Platform
- Attempt to gain unauthorized access to any portion of the Platform or other Users’ Accounts
- Circumvent or disable any security feature or encryption
Suspension and Termination
9.1 Suspension. We may suspend your access if we reasonably believe you have violated these Terms or if required by law.
9.2 Termination by You. You may delete your Account at any time via your Account settings.
9.3 Termination by Lexkeep. We may terminate your Account or rights to use the Services if you materially breach these Terms and fail to cure within 30 days of notice.
9.4 Effect of Termination. Upon termination, your right to access the Services ends; however, certain data (including encrypted backups and on-chain hashes) may remain as described in our Privacy Policy and/or the DPA.
Third-Party Services and Sub-processors
We host and operate the Services on Amazon Web Services (AWS) data centers in the European Union by default, unless otherwise agreed (for example, under an Enterprise arrangement specifying a different region). AWS acts as a sub-processor of Lexkeep for the provision of hosting and infrastructure services. We also use third-party service providers such as Stripe (for payment processing) and Microsoft 365/Office 365 (for business communications and support operations).
Where Lexkeep processes Personal Data on behalf of a business customer, Lexkeep’s use of sub-processors is governed by the DPA. Your use of any third-party services you choose to connect to the Services is subject to those providers’ terms and policies.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEXKEEP DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. LEXKEEP’S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.
Indemnification
You agree to indemnify, defend, and hold harmless Lexkeep Oy, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your Customer Data, or your use of the Services.
Governing Law and Dispute Resolution
These Terms and any disputes arising out of them shall be governed by the laws of Finland, without regard to conflict-of-law principles. Exclusive jurisdiction and venue for any legal proceedings shall be the courts of Helsinki, Finland.
Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or via the Platform. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
